Konnect.ing, a product administered by XPRT Platforms located in UK ("Konnect.ing," "us," or "we") offers a suite of services including URL shortening, custom-branded links, link management, bio page, domain for rent marketplace, and analytics (collectively referred to as the "Konnect.ing Services"). This document ("Agreement") outlines the rules and regulations governing your usage of Konnect.ing Services, forming a legally binding contract between you and Konnect.ing.

If you're accepting these terms on behalf of a corporation or other legal entity, you confirm that you have the authorization to bind said entity to this Agreement. In this scenario, the terms "you," "your," and "Customer" will refer to said entity. If your access to our services was granted by a primary account holder, either directly or through an administrator, you're also required to comply with this Agreement. Your usage of the Konnect.ing Services is also subject to Konnect.ing's Privacy Policy.

BY CREATING A KONNECT.ING ACCOUNT, UPGRADING TO A PAID ACCOUNT, OR BY ACCESSING OR UTILIZING THE KONNECT.ING SERVICES, YOU CONFIRM THAT YOU'VE READ, UNDERSTOOD, AND AGREE TO ADHERE TO THESE TERMS. IF YOU DON'T AGREE WITH THESE TERMS, YOU'RE NOT AUTHORIZED TO ACCESS OR USE THE KONNECT.ING SERVICES.

PLEASE NOTE THAT THIS AGREEMENT INCLUDES AN ARBITRATION CLAUSE AND A CLASS ACTION WAIVER OUTLINED IN THE ARBITRATION SECTION BELOW. BY AGREEING TO THESE TERMS, YOU CONSENT TO SETTLE ANY DISPUTES THROUGH BINDING, INDIVIDUAL ARBITRATION AND RELINQUISH YOUR RIGHT TO A JURY TRIAL OR PARTICIPATION AS A PLAINTIFF OR CLASS MEMBER IN ANY SUPPOSED CLASS ACTION OR REPRESENTATIVE LEGAL ACTION.

1. UPDATES & SCOPE Changes to Agreement: Konnect.ing holds the right to alter or replace this Agreement whenever it deems necessary. Any changes will be posted on our site or notified to you via your Konnect.ing Account Details page. Continuing to use Konnect.ing Services after any changes implies your acceptance of these changes. It is your responsibility to periodically review this Agreement for updates. If you don't agree with the changes, your only option is to stop using Konnect.ing Services.

Current Services & Changes: As of the agreement's effective date, Konnect.ing provides certain services to you. However, Konnect.ing can add, modify, suspend, discontinue, or update its services at any time. After such changes, Konnect.ing is not obligated to maintain or support any previous versions of the services.

Enterprise Customers: If you have purchased a Konnect.ing Enterprise Plan, these terms may be modified or supplemented by an additional enterprise agreement and one or more order forms. Any conflicting terms will be controlled by these additional documents.

Support & Training: The level of customer support and training you receive depends on the Konnect.ing Services tier you've purchased, as detailed on our pricing page.

2. PAID ACCOUNTS Fees: Konnect.ing provides fee-based services offering extra features. The pricing and services for paid accounts are detailed on Konnect.ing's pricing page and may change periodically. If you opt for a paid account, you agree to pay Konnect.ing all relevant fees for your chosen service tier. Fees are non-refundable unless required by law or explicitly permitted in this Agreement.

Auto-renewals and Trials: If your account is set for auto-renewal or is in a trial period, Konnect.ing will automatically charge your account at the end of the trial or start of each renewal term, unless you notify us of cancellation or auto-renewal disablement before the current term ends. If you have a paid plan lasting twelve months or longer, we will notify you 30 days before renewal, including any changes in fees.

Payment: Payments will be due immediately, unless otherwise specified, and will be charged using your selected method on Konnect.ing's online payments platform. If payments are overdue, Konnect.ing may suspend or terminate the Services. Unpaid fees may incur a finance charge of 1.5% per month (18% per annum), or the maximum permitted by law, whichever is lower, plus all collection expenses.

Marketplace: In the Marketplace, if a purchase is made using a certain payment method, the same method will be used to transfer payment to the seller. For instance, if a domain is rented using Bitcoin, we will transfer that Bitcoin to the seller. The exchange rate at the time of purchase will be the Market Exchange Rate. Listing domains for rent is free for sellers, and renting a domain is free for buyers. Each transaction has a fixed 20% commission for sellers.

Taxes: Fees do not include taxes or any other governmental charges ("Taxes"). You are responsible for all Taxes arising from this Agreement or your use of Konnect.ing Services. If required by law, Konnect.ing will invoice you for these Taxes, and you agree to pay as per the invoice terms.

Downgrades: If fees are overdue, Konnect.ing reserves the right to downgrade, suspend, or terminate your access to any or all of its services.

3. USAGE RIGHTS, DATA METRICS AND COMPLIANCE Usage Rights for Konnect.ing Services: Subject to the terms of this Agreement and the payment of due fees, Konnect.ing gives you, and any other parties mentioned in an Order Form, a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to use Konnect.ing Services. This is primarily for URL shortening, receiving certain Konnect.ing Link Metrics (as defined in Konnect.ing’s Privacy Policy) and, for Enterprise Plan customers, to use the other services defined in the relevant Order Form during the service term.

Konnect.ing Link Metrics: Konnect.ing collects and generates Link Metrics as part of its services, as described in Konnect.ing’s Privacy Policy. Limited Link Metrics are published on Konnect.ing’s website. You acknowledge and agree that all Link Metrics are owned by Konnect.ing, and Konnect.ing reserves the right to use, license, sell, or dispose of these Link Metrics as outlined in its Privacy Policy. Not all Link Metrics are available to you. You can access, use, and copy the limited Link Metrics we make available to you based on your service tier. However, you must not combine any Link Metrics with personally identifiable information, or sublicense, sell, syndicate, or share Link Metrics with any third party.

Access Credentials: Konnect.ing will provide you with non-transferable access credentials for its services. You must not misrepresent or mask identities when using Konnect.ing Services or seeking access credentials. Furthermore, you must not use a username or Branded Short Domain that infringes on the rights of any other person or entity without proper authorization, or use a name that is offensive, vulgar, or obscene. You also must not exceed any access granted by Konnect.ing. You must protect all access credentials provided by Konnect.ing and ensure their confidentiality and security. If you are a corporate entity, only your employees and contractors ("Personnel") may use the Konnect.ing Services, and you must require your Personnel to comply with all laws and restrictions set out in this Agreement. You also accept full responsibility for any acts or omissions by your Personnel, whether authorized or not. Konnect.ing may change the method of accessing its services at its discretion.

Compliance Monitoring: Konnect.ing may monitor your usage of its services to ensure compliance with this Agreement. If Konnect.ing identifies any usage it believes violates this Agreement, it will notify you and allow five (5) business days for you to rectify this non-compliance. Failure to remedy non-compliance within this timeframe gives Konnect.ing the right to suspend or terminate your use of its services. If Konnect.ing believes that the security of your account has been compromised, or that your account is being used for illegal purposes, it reserves the right to suspend your use of its services without notice. Furthermore, Konnect.ing may suspend or terminate your access to its services without notice if you violate this Agreement.

4. INTELLECTUAL PROPERTY & USAGE LIMITATIONS Ownership: Konnect.ing retains exclusive ownership of all rights and interests in its services and Link Metrics, including all related documentation, source code, tools, scripts, processes, methodologies, inventions, know-how, concepts, formatting, visual attributes, ideas, database rights, copyrights, patents, trade secrets, and other intellectual property. This includes any enhancements, modifications, and improvements of these materials ("Konnect.ing Materials"). Except for any content or services provided by you, you acknowledge and agree to this ownership arrangement. This agreement or any other document does not transfer ownership of the Konnect.ing Materials. Apart from the limited usage rights explicitly granted in this agreement, no other rights to Konnect.ing Materials are conferred, and all other rights are reserved.

Feedback: You are not obligated to provide any suggestions, enhancement requests, recommendations, or other feedback regarding the Konnect.ing Services or Link Metrics ("Feedback"). If you choose to do so, all rights and interests in such Feedback will be assigned to Konnect.ing, and Konnect.ing is free to use such Feedback without restriction.

Usage Restrictions: You agree not to use the Konnect.ing Services or Konnect.ing Materials in any way that violates this Agreement or any applicable laws or regulations. This includes but is not limited to:

• Using the services in any manner that infringes on third-party rights or could cause harm or disruption to others or the services.
• Misrepresenting or masking identities or providing false information.
• Engaging in any activity that involves distributing unsolicited messages, junk mail, spam, or phishing.
• Using the services to collect or distribute any personal data without proper authorization.
• Tampering with or attempting to gain unauthorized access to the services or related systems.
• Attempting to reverse engineer, decompile, disassemble, or otherwise seek to obtain the source code or other proprietary information from the Konnect.ing Services or Konnect.ing Materials.

5. TERMINATION & SUSPENSION Termination: This Agreement may be terminated by either party at any time, with or without cause, by providing written notice to the other party. Upon termination, your right to use the Konnect.ing Services will immediately cease. Any fees due for services provided up to the termination date will still be payable. Konnect.ing may also terminate or suspend your access to its services immediately, without prior notice or liability, if you breach any part of this Agreement.

Suspension: Konnect.ing reserves the right to suspend your account and access to its services without notice if it detects any activity that it deems to be in violation of this Agreement, harmful to other users, or detrimental to the services.

6. DISCLAIMERS & LIMITATION OF LIABILITY Disclaimers: The Konnect.ing Services and Link Metrics are provided "as is" and "as available" without any warranties or representations of any kind, either express or implied. This includes, but is not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Konnect.ing does not warrant that the services will be uninterrupted, error-free, or completely secure.

Limitation of Liability: To the maximum extent permitted by law, Konnect.ing will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with this Agreement, even if Konnect.ing has been advised of the possibility of such damages. In no event will Konnect.ing's aggregate liability arising from or related to this Agreement exceed the amounts paid by you to Konnect.ing in the twelve (12) months preceding the event giving rise to the claim.

7. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Konnect.ing and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Konnect.ing Services, your violation of this Agreement, or your violation of any rights of a third party.

8. ARBITRATION & CLASS ACTION WAIVER Arbitration: Any disputes arising out of or related to this Agreement or the Konnect.ing Services will be resolved through binding arbitration, conducted by the American Arbitration Association under its rules, in Austin, Texas. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree to resolve any disputes on an individual basis, and waive your right to participate in a class action or representative lawsuit.

9. MISCELLANEOUS Governing Law: This Agreement will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Entire Agreement: This Agreement constitutes the entire agreement between you and Konnect.ing regarding the Konnect.ing Services and supersedes all prior agreements or understandings, whether written or oral, regarding such subject matter.

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver: The failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer this Agreement or any rights or obligations hereunder without Konnect.ing's prior written consent. Konnect.ing may freely assign this Agreement.

Notices: All notices or other communications required or permitted under this Agreement will be in writing and delivered by email to the addresses provided by the parties.
